END-USER LICENSE AGREEMENT Version 2.0 - Effective date: October 30, 2026 1. PARTIES AND DEFINITIONS This End-User License Agreement ("EULA") is a legal agreement between you, either as an individual or as an entity ("you"), and Charles Gondre, sole author of the Product, who publishes it under the name Tritik (SIREN 804 538 288) ("Tritik" or "the Licensor"). "Product" means the software distributed by the Licensor, including any updates, upgrades, free versions and demo versions, together with its supporting documentation, factory content and associated materials, whether distributed free of charge or for a fee. "Website" means https://www.tritik.com. "Consumer" means an individual acting for purposes outside their trade, business, craft or profession. "Professional user" means any person acquiring or using the Product for purposes relating to their trade, business, craft or profession. 2. ACCEPTANCE By downloading, installing or using the Product, you agree to be bound by this EULA. If you do not agree with its terms, do not install or use the Product, and remove the Product and any associated documentation from your computer. For licenses acquired on or after its effective date, this EULA supersedes any prior version of the end-user license agreement for the Product, including any version displayed by the installer of an earlier release of the Product and any license terms previously published on the Website, and prevails in case of inconsistency. For licenses acquired before its effective date, Section 14 applies. 3. AUTHORSHIP AND INTELLECTUAL PROPERTY The Product is an original work of authorship protected by copyright (droit d'auteur) under French law and applicable international conventions. The Licensor is the sole author of the Product and the sole owner of all author's rights and other intellectual property rights in it, with the exception of any third-party components referred to in Section 7. The Licensor retains all rights, title and interest in and to the Product, including its software, components, libraries, documentation, factory content and directory structures, and all Intellectual Property Rights therein. "Intellectual Property Rights" means any copyright and author's rights, patent, trademark, service mark, trade name, database right, goodwill, logo, trade secret, know-how or other intellectual property or proprietary right, whether registered or unregistered, in any jurisdiction, including all registrations, applications and renewals thereof and all causes of action for infringement or misappropriation of any of the foregoing. The name "Tritik" and the logos, Product names and other distinctive signs of the Licensor are protected. Any use or reproduction of them without the Licensor's prior written authorization is prohibited, except for accurate and lawful reference to the Product. 4. GRANT OF LICENSE The Product is licensed, not sold. Any price paid for the Product is consideration for the license granted under this EULA. Subject to your compliance with this EULA and, for commercial versions, to payment of the applicable price, the Licensor grants you a personal, non-exclusive and non-transferable license to install and use the Product on one or several computers, provided that you remain the sole user of the Product. This license is granted worldwide for the full term of copyright protection of the Product, unless terminated in accordance with Section 13. If a license is acquired by a company or other organization, it must be assigned to one individual user, unless a different license type is expressly stated at purchase. If you accept this EULA on behalf of an organization, you confirm that you are authorized to bind it. You may freely use, including for commercial purposes, any audio material that you create or process with the Product, such as music, sound design, audiovisual productions and client projects. The Licensor claims no rights in such material. 5. POINT OF SALE Licenses for the Product may be purchased directly from the Licensor or through authorized resellers, which may act as merchant of record for the sale. Regardless of the point of sale, the license to use the Product is granted solely by the Licensor under this EULA. Resellers are not party to this EULA; their own terms of sale govern only the purchase transaction, such as payment, taxes and refunds. 6. RESTRICTIONS Except as expressly permitted by this EULA, by applicable law or by the Licensor in writing, you may not: (a) lend, lease, rent, sell, sublicense, share, distribute or otherwise make available the Product, any copy or part of it, or your license credentials, to any third party; (b) allow another person to use a license assigned to you; (c) modify, adapt, translate, merge or create derivative works of the Product; (d) extract or reuse components, factory presets, graphics or documentation of the Product for redistribution or for incorporation into another product; (e) decompile, disassemble or reverse engineer the Product, except to the extent permitted by applicable law (in particular Article L. 122-6-1 of the French Intellectual Property Code); (f) remove, alter or circumvent any copyright notice, license key mechanism, activation or other technical protection of the Product. You may make the copies of the Product reasonably necessary for its installation and for backup purposes. Any use of the Product not expressly authorized by this EULA constitutes an infringement of the Licensor's rights and may give rise to legal action. 7. THIRD-PARTY COMPONENTS The Product may include third-party components, such as software libraries, that are licensed to the Licensor by their respective owners. Such components remain the property of their owners and may be subject to their own license terms, which apply to those components. 8. FREE AND DEMO VERSIONS The Licensor may, at its discretion, provide demo versions of the Product for evaluation purposes only. Demo versions may contain limitations described on the Product page, such as periodic audio interruptions or restricted features. When you download a demo version, you are granted a personal, non-exclusive and non-transferable license to use it for evaluation purposes. You may not use demo versions for paid work or any other commercial purpose. The Licensor may also provide Products free of charge. Unless specific terms are supplied with a free Product, this EULA applies to it, except that no payment is required. 9. DELIVERY, UPDATES AND SUPPORT The Product is delivered digitally. Some Products require a license key, an account or an online activation. You are responsible for keeping your license credentials secure and for informing the Licensor promptly of any loss or misuse. Before purchasing, you are responsible for checking the operating system, plug-in format and host application requirements stated on the Product page and, where available, for testing the demo version. The Licensor may release corrections, improvements or other updates at its discretion. Unless expressly stated on the Product page or at purchase, a license does not include any right to a particular update, upgrade, new feature or maintenance period, nor any guarantee of compatibility with future hardware, operating systems, plug-in formats or host applications. This does not affect any update to which you are entitled as a consumer under the legal guarantee of conformity. The Licensor provides reasonable support for current Products by email, without any guaranteed response or resolution time. The Product may connect to the Licensor's servers to check whether an update is available. The related data processing, and how to disable automatic checks, are described in the Privacy Policy available at https://www.tritik.com/legal/privacy/. 10. WARRANTIES The Licensor warrants that (i) the Product conforms in all material respects to its description on the Website; (ii) the Product does not contain any code or device intended to permit unauthorized access by third parties, or to disable, damage, erase or otherwise impair the Product or your computer system; and (iii) the Licensor holds all rights necessary to grant the license set out in this EULA and, to the Licensor's knowledge, the Product does not infringe the rights of any third party. You acknowledge that the use of the Product may not be uninterrupted or error-free, nor compatible with every system, host application, third-party plug-in or workflow. If the Product has a defect for which the Licensor is responsible, the Licensor will, at its option, either correct the Product or, if correction is not possible within a reasonable time, refund the price paid for the license. Refunds are processed through the point of sale where the license was purchased. These warranties do not apply to a Product that has been modified by you or by a third party, or used in a manner for which it is not designed or intended. To the maximum extent permitted by applicable law, free versions and demo versions are provided "as is". Nothing in this EULA limits or excludes the statutory rights you may have as a consumer, including the legal guarantee of conformity applicable to digital content. Subject to such rights, and to the maximum extent permitted by applicable law, the express warranties set out in this Section are in lieu of all other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. 11. WITHDRAWAL AND REFUNDS Purchase cancellations and refund requests are handled by the point of sale under its own terms of sale. If you are a consumer entitled to a withdrawal period, you lose that right for digital content only where you have given your prior express consent to immediate delivery and acknowledged that you would thereby lose it, as required by applicable law. Otherwise, your withdrawal right remains unaffected. Refunds for defects are covered by Section 10. 12. LIMITATION OF LIABILITY Nothing in this EULA limits or excludes the Licensor's liability for (a) death or personal injury caused by its negligence; (b) fraud, fraudulent misrepresentation, wilful misconduct or gross negligence; (c) a consumer's mandatory statutory rights; or (d) any other liability that cannot be limited or excluded under applicable law. Subject to the foregoing and to the maximum extent permitted by applicable law, the Licensor shall not be liable for any indirect or consequential loss, including loss of profits, revenue, business opportunities, goodwill or data, or business interruption, arising out of or in connection with the Product. If you are a professional user, the Licensor's total aggregate liability arising out of or in connection with the Product shall not exceed the price you paid for the license. This cap does not apply to consumers. You are responsible for selecting the Product appropriate to achieve your intended results, and for backing up your systems, projects and data. 13. TERMINATION You may stop using the Product at any time. The Licensor may terminate this license if you materially breach this EULA and, where the breach can be remedied, you fail to remedy it within a reasonable period after written notice. Where permitted by law, the license terminates immediately in case of unauthorized distribution or sharing of the Product or of license credentials, circumvention of its technical protection, or other infringement of the Licensor's Intellectual Property Rights. The license terminates automatically if the purchase is refunded, cancelled, withdrawn from, or reversed through a chargeback. Upon termination, you must stop using the Product and delete all copies of it and of your license credentials. Sections 3, 6, 12 and 15 survive termination. 14. CHANGES TO THIS EULA The Licensor may update this EULA to reflect changes in law, in the Products or in its business. Each new version is published on the Website with a new version number and effective date. The version in force when you acquired your license continues to govern that license, unless the change is required by law or for security reasons, does not materially reduce your rights, or you expressly accept the new version, for example when installing an update that presents it. 15. GOVERNING LAW AND DISPUTES This EULA is governed by French law. If you are a consumer, this choice of law does not deprive you of the protection afforded by the mandatory provisions of the law of your country of residence, and you may bring proceedings before any court having jurisdiction under applicable consumer law. Any dispute with a professional user is subject to the competent French courts, unless mandatory law provides otherwise.
